Terms & Conditions and Refund Policy

Freedom Currency Inc. operates FreedomCoin (“FreedomCoin”), a cryptocurrency derived from the Bitcoin open source code. You, the individual or End User (“End User”) by purchasing FreedomCoin™, or purchasing products or services utilizing FreedomCoin and your use of FreedomCoin acknowledges your agreement and understanding of the following Terms and Conditions (“Terms and Conditions”):

1. Visa and MasterCard Purchase of FreedomCoin – Delivery of FreedomCoins to buyers are delayed 3 business days to allow for funds transfer to FreedomCoin. Upon FreedomCoin receiving funds from the credit card processing bank, FreedomCoin will automatically display FreedomCoins in buyer account within 73 hours after purchase.

2. Refund Policy – All transactions are final and no refunds can be provided. FreedomCoin is technically unable to reverse FreedomCoin transactions and are unable to provide refunds for any transaction.

3. Restricted Products and Services - The following products or services may not be bought or sold with FreedomCoin:

1. Illegal drugs
2. Controlled substances
3. Guns and weapons
4. Restricted products and services by our payment processing banks.

4. Updates - With or without notice, from time to time, FreedomCoin may revise any part of the Terms and Conditions by posting updates to our website. It is End User responsibility to check periodically for changes to the FreedomCoin Terms and Conditions. End User continued use or access to the website and use of FreedomCoin constitutes acceptance of any revisions to the FreedomCoin Terms and Conditions.

5. End User Email Address - End User must use a valid email address for FreedomCoin to email End User payment receipts.

6. Hardware and Communications - End User shall be solely responsible for End User own computer equipment and establishing and maintaining its telecommunication lines and equipment.

7. End User Customer Service - FreedomCoin provides customer service via email at support@freedomcoin.social

8. FreedomCoin Intellectual Property - Intellectual (“Intellectual Property”) means all of the following owned by FreedomCoin and/or independent contractors, contractors, affiliates, licensees and agents (i) trademarks and service marks (registered and unregistered) and trade names, and goodwill associated therewith; (ii) the FreedomCoin Platform, patents, patentable inventions, computer programs, and software; (iii) databases; (iv) trade secrets and the right to limit the use or disclosure thereof; (v) copyrights in all works, including software programs; and (vi) domain names. The rights owned by a party in its Intellectual Property shall be defined, collectively, as “Intellectual Property Rights.” Other than the express licenses granted by the FreedomCoin Platform Terms, FreedomCoin grants no right or license to End User by implication, estoppel or otherwise to the FreedomCoin services or any Intellectual Property Rights of FreedomCoin. Each party shall retain all ownership rights, title, and interest in and to its own products and services and all intellectual property rights therein, subject only to the rights and licenses specifically granted herein. FreedomCoin shall have the sole right, but not the obligation, to pursue copyright and patent protection, in its sole discretion, for the FreedomCoin services and any Intellectual Property Rights incorporated therein. End User will cooperate with FreedomCoin in pursuing such protection, including without limitation executing and delivering to FreedomCoin such instruments as may be required to register or perfect FreedomCoin interests in any Intellectual Property Rights and any assignments thereof. End User shall not remove or destroy any proprietary, confidentiality, trademark, service mark, or copyright markings or notices placed upon or contained in any materials or documentation received from FreedomCoin in connection with FreedomCoin.

9. Governing Law - FreedomCoin and the FreedomCoin Platform are controlled by Freedom Currency Inc. in the state of Colorado, United States of America. End User agrees that all matters relating to FreedomCoin and the FreedomCoin Platform shall be governed by the statutes and laws of the State of Colorado, without regard to the conflicts of laws principles thereof. Merchant agrees and hereby submits to the exclusive personal jurisdiction and venue of Denver County. End Users agree that FreedomCoin and the FreedomCoin platform shall be deemed solely based in Colorado (the principal place of business and corporate headquarters of FreedomCoin); and FreedomCoin and the FreedomCoin platform shall be deemed a passive one that does not give rise to personal jurisdiction over FreedomCoin, either specific or general, in jurisdictions other than Colorado.

10. Release - End User hereby release FreedomCoin, its affiliated companies, and their officers, directors, employees, independent contractors, contractors, affiliates, licensees and agents and Nonprofits, collectively, the Releasees ("Releasees") from any and all liability, costs, expenses, losses, damages (including damage to property or personal injury or death), and claims, whether known or unknown, which may arise from A) you, the End User hosting, participating, attending, or authorizing an Campaign event, including events you authorize End Users or supporters to promote your Campaign or B) from the acts or omissions of third parties you interact with through the FreedomCoin Platform, collectively the Releases Claims (“Released Claims”). In furtherance of the forgoing, and only with respect to the Released Claims, you waive your rights under California Civil Code Section 1542 which states: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."

11. Indemnification - End User hereby agrees to defend, indemnify and hold harmless FreedomCoin, its affiliated companies, and their officers, directors, employees, independent contractors, contractors, affiliates, licensees and agents from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs or debt, and expenses, including any and all attorney fees and costs and all amounts paid in settlement arising from or relating to use of the FreedomCoin platform, breach of the FreedomCoin platform Terms and Conditions or violation of any local, state, or federal laws. FreedomCoin may assume the exclusive defense and control of any matter for which End Users have agreed to indemnify FreedomCoin and each End User agrees to assist and cooperate with FreedomCoin in the defense or settlement of any such matters.

12. No Warranty - FREDDOMCOIN IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT OR COURSE OF PERFORMANCE. USE OF THE SERVICES IS AT USER'S OWN RISK.

13. Waiver and Release - You hereby release FreedomCoin, its affiliated companies, and their officers, directors, employees, independent contractors, contractors, affiliates, licensees and agents and, collectively, the Releasees ("Releasees") from any and all liability, costs, expenses, losses, damages (including damage to property or personal injury or death), and claims, whether known or unknown, which may arise from the acts or omissions of third parties you interact with through the FreedomCoin platform, collectively the Releases Claims (“Released Claims”). For End Users in a jurisdiction that requires a specific statement regarding waiver and release then the following applies. California residents must, as a condition, waive the applicability of California Civil Code Section 1542. In furtherance of the forgoing, and only with respect to the Released Claims, you waive your rights under California Civil Code Section 1542 which states: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR." Each End User hereby waives this Section 1542 of the California Civil Code and any similar provision in law, regulation or code that has the same effect or intent as the foregoing release. End Users residing in states or jurisdictions which may have applicable statutes, regulations, codes or laws each End User hereby waives the applicable sections of any similar provision in statutes, regulations, codes or laws that has the same effect or intent as the foregoing release.

14. Limitation of Liability - FREEDOMCOIN, INCLUDING ITS affiliated companies, and their officers, directors, employees, independent contractors, contractors, affiliates, licensees and AGENTS ARE NOT LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OR, IN ANY EVENT, FOR DAMAGES EXCEEDING THE LESSER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE FEES PAID TO FREEDOMCOIN FOR THE TRANSACTION FROM WHICH THE CAUSE OF ACTION AROSE. THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF FREEDOMCOIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. (For jurisdictions that do not allow FreedomCoin to limit its liability, notwithstanding any provision of the FreedomCoin Terms and Conditions, for End Users in a jurisdiction that has provisions specific to waiver or liability that conflict with the foregoing, FreedomCoin liability is limited to the smallest extent possible by law. Specifically, in those jurisdictions not allowed, FreedomCoin does not disclaim liability for: (a) death or personal injury caused by its negligence or that of any of its officers, employees or agents; or (b) fraudulent misrepresentation or intentional misconduct; or (c) any liability which it is not lawful to exclude either now or in the future).

15. Assignment - The FreedomCoin platform Terms and Conditions and any rights and licenses granted hereunder may not be transferred or assigned by any End User.

16. Modification of FreedomCoin Platform Terms - From time to time, with or without written notice, FreedomCoin may change, modify or otherwise alter the FreedomCoin Terms and Conditions. Such modifications shall become effective immediately upon the posting thereof. From time to time, FreedomCoin may modify or discontinue, temporarily or permanently, services provided by the FreedomCoin platform (or any part thereof) with or without notice. End User agrees that FreedomCoin shall not be liable and agrees to indemnify FreedomCoin for any modification, suspension or discontinuance of services provided by FreedomCoin or the FreedomCoin platform. Further, from time to time, FreedomCoin may revise or FreedomCoin platform, services, and/or related material, which may render all such prior versions obsolete. Consequently, with or without notice, FreedomCoin reserves the right to revise the FreedomCoin platform Terms and Conditions.

17. Waiver and Severability of Terms and Conditions - Failure of FreedomCoin to exercise or enforce any right or provision of Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of Terms and Conditions is found by a competent jurisdiction to be invalid, End User agrees to give effect to FreedomCoin intentions as reflected in the provision, and the other provisions of the Terms and Conditions remain in full force and effect.

19. Headings - The section headings or any capitalization in the Terms and Conditions are for convenience only and have no legal or contractual effect.

20. No Joint Venture - The FreedomCoin platform Terms and Conditions do not create, and shall not be construed to create, a joint venture, partnership, or other formal business relationship between FreedomCoin and End User.

21. Consent Representations and Warranties

You, the End User represent and warrant that you have read, acknowledge and agree to be bound by the terms and conditions of the FreedomCoin platform Terms and Conditions. You further represent and agree that you have the power and authority to enter into this agreement.
